Communication Guidelines for Supervisory Board Members represent a recommendation to the chairmen and members of the supervisory boards at companies they supervise as to how they should behave when communicating with the external public and the media.
One cannot find any good practice recommendations regarding the communication of supervisory board members in comparable international corporate governance codes and neither does the Slovenian Corporate Governance Code for Listed Companies feature such recommendations as the company and the management board or management team on the company’s behalf are responsible for communication with the public and the media. The chairman of the supervisory board only represents the company vis-à-vis the management board and other supervisory board members, and therefore also communicates in that regard alone. They are also responsible for communicating supervisory board resolutions.
The aim of the Guidelines of the Slovenian Directors' Association is to underscore that media appearance by supervisory board members as individuals are inappropriate when the members do not hold an authorisation issued by the supervisory board for this purpose, or that such appearances are only appropriate under extraordinary circumstances (resignation from the function).
